1. Agreement to Terms

By using Silicon Hills Technology services, accessing the Silicon Hills business dashboard, engaging with our Emma AI phone agent, or receiving SMS communications facilitated through our platform, you agree to be bound by these Terms and Conditions.

If you are accepting these terms on behalf of a business entity, you represent that you have the authority to bind that entity to these terms.

2. Services Description

Silicon Hills Technology LLC provides AI-powered communication and business automation services to field service businesses. Our services include:

  • Emma AI phone agent: An AI-powered inbound call handling system that captures leads, takes service requests, and notifies business owners in real time.
  • Automated SMS and email notifications: Confirmation messages sent to callers and lead alerts sent to business owners via Twilio infrastructure.
  • Business management dashboard: A web-based platform for managing clients, service requests, automations, and AI agent configuration.
  • AI-generated content: Summaries, draft communications, and recommendations generated using large language models to assist business operations.

3. SMS Terms

Silicon Hills Technology sends SMS messages on behalf of its business clients to individuals who have engaged with those businesses through our Emma AI phone agent. By engaging with Emma during an inbound call, callers consent to receive service-related SMS from the business they contacted.

  • Message frequency varies based on service activity and is not fixed.
  • Message and data rates may apply depending on your mobile carrier plan.
  • Reply STOP to any message to opt out at any time. Opt-outs are honored within 24 hours and logged to prevent future messages.
  • Reply HELP to any message for support contact information.

  • Mobile carriers are not liable for delayed or undelivered messages.

4. AI-Generated Content Disclaimer

Our platform uses artificial intelligence to generate summaries, draft communications, answer caller questions, and provide business recommendations. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or omissions and should be reviewed by a qualified person before use.
  • AI-generated content does not constitute legal, financial, medical, or other professional advice.
  • AI-generated content is provided as a tool to assist human decision-making, not to replace it.
  • Silicon Hills Technology is not liable for decisions made based on AI-generated content.

5. Client Responsibilities

Business clients using the Silicon Hills platform agree to the following obligations:

  • SMS consent: Obtain and maintain proper consent from customers before facilitating SMS communications through our platform. You are responsible for ensuring your use of our SMS capabilities complies with the Telephone Consumer Protection Act (TCPA) and all applicable laws.
  • Lawful use: Use the platform only for legitimate, lawful business purposes. No use for spam, harassment, deception, or any unlawful purpose is permitted.
  • Credential security: Maintain the confidentiality of your login credentials. You are responsible for all activity under your account.
  • No redistribution: Do not resell, sublicense, or otherwise grant third parties access to the Silicon Hills platform without our prior written consent.
  • Accurate information: Provide accurate, current information when configuring your account and AI agent.

6. Payment Terms

  • Subscription fees are billed monthly or annually in advance, as selected at the time of enrollment.
  • All fees are non-refundable. No refunds or credits are issued for partial billing periods, unused features, or early cancellation.
  • Accounts delinquent by 30 or more days may be suspended without notice. Suspended accounts may be reinstated upon payment of all outstanding amounts.
  • All payments are processed securely via Stripe. By providing payment information, you authorize Silicon Hills Technology to charge your payment method for all fees due.
  • We reserve the right to adjust pricing with 30 days advance notice. Continued use after a price change constitutes acceptance.

7. Data Ownership

  • Client business data (contacts, service history, settings) belongs to the client business. Silicon Hills Technology acts as a data processor, not a data owner, for this information.
  • Caller and lead data collected through Emma on behalf of a client business belongs to that client business.
  • Silicon Hills Technology retains the right to use anonymized, aggregated usage data for platform improvement, feature development, and benchmarking. This data cannot be traced back to individual users or businesses.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Silicon Hills Technology LLC shall not be liable for:

  • Missed calls, missed leads, or lost business opportunities due to service interruptions, downtime, or technical failures.
  • Decisions made based on AI-generated recommendations, summaries, or drafts.
  • Service failures by third-party providers including Twilio, Vapi, Stripe, or Supabase.
  • Indirect, incidental, special, consequential, or punitive damages of any kind, even if Silicon Hills Technology has been advised of the possibility of such damages.

In all cases, Silicon Hills Technology's maximum aggregate liability to any client shall not exceed the total fees paid by that client in the three months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Silicon Hills Technology LLC, its members, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the platform or violation of these Terms.
  • Your handling of customer data or SMS consent obligations.
  • Any claim by your customers arising from services facilitated through our platform.
  • Your violation of any applicable law or regulation.

10. Termination

  • Either party may terminate a subscription with 30 days written notice to the other party.
  • Silicon Hills Technology may terminate or suspend access immediately, without notice, for violations of these Terms, non-payment, or activity that poses a risk to the platform or other clients.
  • Upon termination, client data is available for export for 30 days. Requests for data export must be made within this window by contacting support@siliconhillstechnology.com.
  • After 30 days post-termination, data may be permanently deleted in accordance with our retention policy.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to personal jurisdiction in those courts.

12. Changes to These Terms

Silicon Hills Technology reserves the right to update these Terms at any time. When we make material changes, we will provide at least 30 days notice via email to the address on file or a prominent notice in the Silicon Hills dashboard.

Continued use of the platform after the effective date of updated Terms constitutes your acceptance of the revised Terms.
